Delivery Terms & Conditions

These Terms and Conditions apply for all Delivery Services

This document (the "Delivery Terms") is an extension of the Service Terms and Conditions ​ (the "Service Terms") and incorporates their provisions. The following terms specifically govern consulting services:

Legal Framework and Obligations

  1. The Delivery Terms incorporate and extend the Service Terms. All provisions outlined in the Service Terms apply unless otherwise stated herein.

Time-Based Agreements

  1. Services rendered under time-based agreements are subject to a duty of care. You are billed based on time spent (net time or attendance).

Result-Based Agreements

  1. Services rendered under result-based agreements aim to produce a clearly defined deliverable.
  2. All liability, including warranties, is excluded, in compliance with Hungarian law.
  3. Warranties can only be provided under a separate Warranty Agreement ​, executed after successful delivery without disputes or indications of contractual breach.

Billing and Payment Terms

  1. All deliverables are billable immediately upon completion or partial performance.
  2. You may reserve my availability for a specific period. This fee guarantees capacity retention and is non-deductible from service fees.
    • 30% of the total value for availability beyond 5 business days.
    • 50% of the total value for availability within 3 business days.
    • 100% of the total value for availability within 1 business day.
  4. Unused reserved hours during the agreed availability period are non-refundable and remain your responsibility.

Scope of Delivery Services

  1. All services intended to produce tangible or intangible deliverables over which you gain ownership or you obtain usage rights over them, fall under these Delivery Terms.
  2. "Delivery" encompasses, but is not limited to:
    • Creation of products.
    • Execution of tasks.
    • Development of services or systems for your's exclusive use.

Liability Limitation

  1. For time-based agreements, all efforts are performed under a duty of care, excluding liability for the outcome.
  2. For outcome-based agreements, I am released from all further obligations upon the successful delivery and acceptance of the deliverables.

Confidentiality and Cooperation

  1. All communications and information exchanged between you and me are confidential and protected under the Service Terms.
  2. You must provide timely decisions, feedback, and information to facilitate successful delivery.

Final Provisions

  1. By engaging my services, you acknowledges and accepts these Delivery Terms and the Service Terms.
  2. These terms are governed by Hungarian law, and all disputes shall be resolved in accordance with the applicable legal framework.
