Ownership & Agreement

These Terms and Conditions of Use (the "Terms of Use") apply to the website located at adam-rocska.odoo.com, and any related sites operated by Adam Laszlo Rocska SP ("Adam"), or his undertakings. Hereinafter these sites are collectively referred to as the "Sites". The Site is owned by Adam and his licensors.


BY ACCESSING OR USING THE SITE, YOU AGREE TO COMPLY WITH THESE TERMS OF USE. 

IF YOU DO NOT ACCEPT THESE TERMS, YOU DO NOT HAVE A RIGHT TO USE THE SITE.


Adam reserves the right, at his sole discretion, to create, update or delete (interactions collectively, the "Change") any part of these Terms of Use, regardless of time, date or frequency. It's your responsibility to review these Terms of Use regularly for Changes. Continued use of the Site after any Changes are published will signify without ambiguity your acceptance of those changes. Adam grants you a limited, personal, non-exclusive, and non-transferable right to use the Site, provided you comply with these Terms.

Content

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code (collectively, "Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel," and arrangement of such Content on the Site, is owned, controlled, or licensed by or to Adam and is protected by copyright, trademark, and other applicable intellectual property laws.


Except as expressly provided in these Terms of Use, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any form or by any means to any other computer, server, website, or other medium for publication or distribution, without Adam's prior express written consent.


You may use information about Adam’s products and services that is intentionally made available for downloading from the Site (such as case studies, data sheets, FAQs, and similar materials), provided that you:

  1. Do not remove any proprietary notices or disclaimers in all copies of such documents,
  2. Use such information solely for your personal, non-commercial, non-academic individual informational purposes, and do not copy or post such information on any networked computer or broadcast it in any media,
  3. Make no modifications to any such information,
  4. Ensure that any copied or downloaded Content remains current and up-to-date; failure to do so may result in significant economic damages, should inaccuracies arise from outdated information.
  5. Do not make any additional representations or warranties regarding such documents.

Site Use

You may not use any "deep-link," "page-scrape," "robot," "spider," or any other automatic device, program, algorithm, or methodology, or any similar manual process to access, acquire, copy, or monitor any portion of the Site or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Site or any Content, to obtain or attempt to obtain any materials, documents, or information through any means not intentionally made available through the Site. Adam reserves the right to prohibit any such activities.


You may not attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any of Adam's servers, or to any services offered on or through the Site, by hacking, password mining, or any other illegitimate means.


You may not probe, scan, or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site. You may not reverse look-up, trace, or seek to trace any information on any other user of or visitor to the Site, or any other customer of Adam, including any account not owned by you, to its source, or exploit the Site or any service or information made available or offered by or through the Site, in any way intended to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site.


You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or Adam’s systems or networks, or any systems or networks connected to the Site or to Adam.


You agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person’s use of the Site.


You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmission you send to Adam on or through the Site or any service offered on or through the Site. You may not impersonate another individual or entity or falsely represent that you are affiliated with any other person or organization.


You may not use the Site or any Content for any unlawful purpose or for any purpose prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of Adam or others.

Purchases

Additional terms and conditions may apply to purchases of goods or services, as well as to specific portions or features of the Site, including but not limited to promotions, or similar features. These additional terms are considered part of these Terms of Use by reference. You agree to comply with any such additional terms and conditions, including, where relevant, confirming that you are of legal age to use or participate in the related service or feature. In the event of a conflict between these Terms of Use and the terms applicable to a specific portion of the Site or any service offered through the Site, the specific terms for that portion or service will prevail.


Adam's obligations, if any, related to products or services are governed solely by the agreements under which they are provided. Nothing on this Site should be interpreted as modifying those agreements.


Adam reserves the right to change any products or services offered on the Site, including the applicable prices, at any time and without notice. The materials on the Site regarding products and services may become outdated, and Adam assumes no obligation to update such materials with respect to any products or services.

Account Security

Certain features or services offered on or through the Site may require you to open an account. You are fully responsible for maintaining the confidentiality of your account information, including your password, and for any activity that occurs under your account due to your failure to keep this information secure and confidential. You agree to notify Adam immediately of any unauthorized use of your account, password, or any other breach of security. You may be held liable for losses incurred by Adam or any other user of the Site due to someone else using your account as a result of your failure to keep your account information secure.


You may not use anyone else’s account, password, or credentials at any time without the express permission and consent of the account holder. Adam cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

Privacy

Adam’s Privacy Policy applies to the use of this Site, and its terms are incorporated into these Terms of Use by this reference. By using the Site, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to the Site may be read or intercepted by others, even if there is a notice indicating that a particular transmission (such as sensitive information) is encrypted.

Liability

Except where prohibited by law, in no event will Adam be liable to you for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits, even if Adam has been advised of the possibility of such damages.


If, notwithstanding the other provisions of these Terms of Use, Adam is found liable to you for any damage or loss arising out of or connected with your use of the Site or any Content, Adam’s liability shall in no event exceed the greater of

  1. the total of any subscription or similar fees paid for any service or feature of the Site in the six months prior to the date of the initial claim made against Adam (excluding any hardware or software product purchases), or
  2. US$100.00. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

Indemnity

You agree to indemnify and hold Adam, his licensors, and partners harmless from any claims, losses, liabilities, damages, costs, and expenses (including attorney fees) arising out of or related to your use of the Site, violation of these Terms of Use, or infringement of any third-party rights.

Violation

Adam reserves the right to disclose any information held about you (including your identity) if it is determined that such disclosure is necessary as part of an investigation or in response to a complaint regarding your use of the Site, or to identify, contact, or take legal action against individuals who may be causing harm to or interfering with Adam's rights or property, or the rights and property of users or visitors of the Site, including customers. Adam may also disclose any information deemed necessary to comply with applicable laws, regulations, legal processes, or governmental requests. This may include sharing information with other organizations for purposes such as fraud prevention.


You acknowledge and agree that Adam may retain any communications or data transmitted by you via the Site, and disclose such information if required by law, or if Adam considers such retention or disclosure necessary to

  1. comply with legal obligations,
  2. enforce these Terms of Use,
  3. address claims that any data violates the rights of others, or
  4. protect the safety, property, and rights of Adam, its employees, users of the Site, or the public.


You agree that Adam may, at its sole discretion and without prior notice, terminate or restrict your access to the Site if it is determined that you have violated these Terms of Use or other guidelines associated with the Site. Furthermore, you understand and agree that any violation of these Terms may result in significant harm to Adam, and that legal remedies, including injunctive relief, may be pursued as appropriate. These remedies are additional to any other legal or equitable remedies that may be available.


Adam may, at its sole discretion, terminate your access to the Site without prior notice for reasons including (but not limited to) 

  1. requests from law enforcement or other governmental authorities,
  2. your request to terminate your account,
  3. discontinuation or modification of the Site or its services, or
  4. technical issues or unexpected problems.


If legal action is taken against you due to a breach of these Terms, Adam is entitled to recover all reasonable legal fees and related costs from you. You agree that Adam will not be liable to you or any third party for terminating your access to the Site due to any violation of these Terms of Use.

Governing Law

You agree that all matters relating to your access to or use of the Site, including any disputes, will be governed by the laws of Hungary, without regard to its conflict of laws principles. You consent to the jurisdiction of the Hungarian courts and waive any objections to such jurisdiction.


Any claims arising under these Terms must be filed within one (1) year from the date the cause of action occurs, or the claim will be barred. Claims related to separate purchase agreements for goods or services are not subject to this limitation. Damages recoverable are limited to actual expenses incurred, with the prevailing party entitled to recover reasonable legal fees and costs.


In the event of any disagreement or dispute between you and the Site regarding your use, both parties will promptly attempt to resolve the issue in good faith. If a resolution cannot be reached within thirty (30) days, either party may pursue mediation. Should mediation fail, both parties retain the right to seek any legal remedies available under Hungarian law.

Void Where Prohibited

The Site is managed and operated from Hungary, and while it is accessible worldwide, not all features, products, or services mentioned, referenced, or provided through the Site are available to all individuals or in every geographic region. Certain features, products, or services may not be appropriate or available for use outside of Hungary. The Site reserves the right to limit the availability and quantity of any feature, product, or service at its discretion.


Any offer for features, products, or services made on the Site is null and void where prohibited by local law. If you access the Site from a location outside Hungary, you do so at your own risk and are solely responsible for ensuring compliance with applicable local laws.

Miscellaneous

You are prohibited from using, exporting, or re-exporting any Content or any copies or adaptations thereof, or any products or services offered on the Site, in violation of applicable laws or regulations, including, but not limited to, Hungarian export laws and regulations.


If any provision of these Terms of Use is found to be invalid or unenforceable by a competent court or tribunal, such provision shall be modified or eliminated to the least extent necessary, replaced with a valid provision that reflects the original intent of these Terms of Use, ensuring that the remaining provisions remain in full effect. These Terms of Use represent the complete agreement between you and [Your Company Name] concerning your use of the Site, superseding any prior written or oral agreements regarding such use.


Unless explicitly stated in a purchase agreement with [Your Company Name], we will not accept any counter-offers to these Terms of Use, and all such proposals are automatically rejected. Our failure to enforce any part of these Terms of Use does not constitute a waiver of our right to do so in the future, nor does any ongoing interaction between you and [Your Company Name] modify these Terms of Use. No provision of these Terms shall be construed to grant any rights or remedies to third parties.

Any feedback you provide on this site shall be considered non-confidential. Adam shall be free to use such information without restrictions.
