A compilation of terms and their definitions.

Effective Date: December 15, 2024


All terms defined in this Glossary shall carry the meanings ascribed to them herein across all contexts, including but not limited to this website, my online and offline activities, contracts, invoices, and any other relevant documents or communications, whether produced, published, or provided by or to me.

Warranty Agreement

The document, titled “Warranty Agreement” ensures that the performance provided by the Service Provider meets the agreed specifications and expected behavior, covering only the original state of the performance and excluding any modifications or future versions.

The document, titled “Service Terms and Conditions” governs the relationship between me and you, setting forth the rules and conditions under which the services are provided.

Any singular first-person reference within the referring context shall be interpreted as referring to this entity. For example: "I will be your best business partner" is to be interpreted (exemplarily) as "The Service Provider will be your best business partner".

Buyer
Any individual or legal entity compensating, planning compensation, or owing compensation to the Service Provider for services rendered. This includes any representative acting on behalf of the individual or entity. 
This role may be assumed by both natural and legal persons, provided that the entity in this role agrees to and complies with all terms and conditions applicable to it, including any definitions specified in additional agreements, contracts, or other relevant documents.
Any singular second-person reference shall be interpreted as referring to the Client. For example: "I will be your best business partner" is to be interpreted (exemplarily) as "I will be the Client's best business partner.".
Parties
 A collective reference to the Client and the Service provider.
Any plural first-person reference within the referring context shall be interpreted as referring to the Client and the Service Provider collectively. For example, “We will do great business together” should be interpreted as “The Client and the Service Provider will do great business together.”

A comprehensive contract between us concerning the use of services, wherein the Service Terms will apply unless explicitly stated otherwise or amended by additional agreements in writing.

A contract allowing us to deviate from specific provisions of the Service Terms or stipulate that certain requirements do not apply.
Offer
Quote
A proposal made by me detailing specific services to be provided. This Offer references applicable service terms and may include additional terms relevant to the engagement. Once signed, the Offer becomes an irrevocable contract unless explicitly stated otherwise.
Confidential Information
"Confidential Information" refers to any non-public information exchanged between you and I, including but not limited to trade secrets, business plans, financial data, personal data, and intellectual property. This excludes information that becomes publicly available through no fault of the receiving party.
Intellectual Property Rights
All forms of intellectual property, including copyrights, trademarks, patents, and trade secrets, as recognized under the laws of Hungary and internationally recognized conventions.
Inventions
All developments or improvements made by either party, including but not limited to procedures, systems, designs, and computer programs.
Trade Secrets
Information that holds economic value from not being publicly known and is subject to reasonable efforts to maintain its secrecy.
Designated Representative
Individuals appointed by each party to oversee the rendering of services. Your initial Representative will be the person initiating the engagement, while my Representative will be Adam Laszlo Rocska.
Pre-Existing Materials
Refers to all materials, data, software, licenses, and other intellectual property owned by me prior to the commencement of an Agreement, including all materials used in or related to the services provided.
Client-Specific Inventions
Refers to any inventions, designs, developments, or other intellectual property created or developed by me specifically for you during the performance of an Agreement.
Service Provider’s Inventions
Refers to any inventions developed by me that are not specifically tailored for you.
Statement of Work (abbreviated as SoW)
A contractual document, typically governed by a framework agreement, that specifies the fees, expectations, boundaries, rights, responsibilities, constraints, concerns, and other relevant details pertaining to one or more deliverables. It serves as the detailed agreement regarding the specific deliverables.
Certificate of Completion
A document that confirms acceptance, affirmation, certification, and satisfaction concerning one or more deliverables defined in the Statement(s) of Work.
Warranty Agreement
An agreement that clearly outlines the boundaries, coverage, specifics, and other relevant details regarding the deliverables covered under warranty, including terms for repair, replacement, or refund as specified.
Sprint
A time-boxed, incremental process, lasting one work-week, that follows the principles of agile and lean methodologies. Unlike traditional interpretations, a Sprint here is not confined to software, technology, or digital fields but applies to any domain requiring iterative progress.
Growth
Any activity in which you or your peers receive, directly or indirectly, a share of my or my peers' Intellectual Capital in any form, via any medium, method, or interaction. This may involve direct or indirect financial or intellectual contributions.
Supervisor
An individual designated to observe and evaluate the Growth process. A Supervisor is prohibited from interacting with any participant or material during the engagement and is only allowed to observe without interference. Any violation of this rule will result in a fine of $250 for each instance of non-compliance.
Growth Guide
Trainer
Mentor
The individual responsible for the effective delivery of Growth services. This role includes various capacities such as Trainer in training sessions, Mentor in mentoring programs, or other similar roles. Ensures proper execution and facilitation of services, adjusting the approach as needed to meet specific engagement requirements.
Participant
The individual who is the subject of Growth activities.
Training
An event involving two or more participants, where the sole objective is the sharing of theoretical Intellectual Capital.
Workshop
An event involving two or more participants, where the sole objective is the sharing of practical Intellectual Capital, with a tangible result produced by the participants and the Growth Guide.
Mentoring
A series of engagements between a single Growth Guide and a single Participant, aimed at facilitating the Participant’s Growth by any and all means. Must involve only one Participant and cannot include a Supervisor. Any breach results in a $500 fine per additional Participant or Supervisor present during each session.
Feedback
The professional evaluation of any material, event, phenomenon, opinion, work product, or other tangible or intangible output created by one or more Participants, collectively or individually. This may include formal or informal evaluations, assessments, or reviews, and includes structured assessment with guidance for necessary changes to support the Growth process.
Public Speaking
An event where one or more Growth Guides deliver a presentation, lecture, or share Intellectual Capital in any form to an audience of more than two people. The primary objective is to present Intellectual Capital. The audience's understanding or internalization is not necessarily ensured.
Growth Material
Any specific, concrete Intellectual Capital recorded in a reproducible form. Types include:
Symbolic Growth Material
Abstract drawings, equations, graphics, or any non-verbal material that cannot be directly verbalized.
Written Growth Material
Any written material, whether printed or digital, in any language, including human and non-human languages, ancient or contemporary, alphabetical or otherwise, capturing words, sentences, or other verbalizable components.
Audio Growth Material
A sound recording of Intellectual Capital, including spoken words, music, or any other sounds as recognized by contemporary natural sciences (e.g., local air-pressure changes).
Video Growth Material
A motion-picture recording of Intellectual Capital, which may include audio.
Intellectual Capital
“Intellectual Capital” refers to the aggregate knowledge, expertise, skills, experiences, and intellectual assets possessed by an individual or organization, which are utilized for value creation, growth, or problem-solving. It encompasses both tangible and intangible intellectual contributions shared through various methods, mediums, or interactions, including but not limited to know-how, best practices, business strategies, technical and non-technical skills, and personal or professional philosophies.
Deliverable
The product, service, or result produced by the Provider as specified in the associated contract(s).
Specifications
The detailed requirements and characteristics agreed upon between the Provider and the Client, which the deliverable must meet.
Expected Behavior
The agreed-upon functional and operational behavior of the deliverable, as outlined in the contract(s).
Result
The finished and unaltered state of the deliverable as produced by the Provider.
Warranty Period
The duration within which the warranty applies, typically starting from the completion date of the deliverable.

Supplement
These terms, individually and collectively, refer to documents or materials referenced in an agreement or other legal document. They are integral to the agreement and shall be treated as binding and enforceable parts thereof, regardless of whether they are:
  • Physically Attached: Included as part of the agreement in printed or electronic form.
  • Referenced Online: Made publicly available via a designated URL or other accessible media.
Authoritative Source:
Where discrepancies arise between versions, the authoritative source shall be:
  • The version made publicly available at the URL(s) specified in the agreement; or
  • If no URL is specified, the version expressly identified as definitive by the Service Provider.
Intent and Scope:
These terms are used interchangeably throughout agreements and are intended to:
  • Clarify or supplement the main text of the agreement.
  • Provide additional details, terms, or explanations as referenced therein.
  • Ensure all parties have equal access to and understanding of the included materials.
Responsibility:
It is the responsibility of all parties to ensure they access and review the most current version of these materials. Updates to referenced materials will not be notified unless expressly required by the agreement.
Retainer
Pre-Purchased Commitment
A contractual agreement in which the Client pre-purchases capacities and availabilities of the Service Provider. This ensures the Client's prioritized access to services and resources during the specified period.
Deprioritization Event
A specific occurrence where Clients without pre-purchased commitments or other time-bound agreements receive lower priority compared to those with such commitments.
