Scope and Applicability
These terms and conditions (“Signature Terms and Conditions”) apply exclusively to the use of the electronic signature services (“Odoo Sign”) provided by Adam Laszlo Rocska Sole Proprietorship via Odoo SA. Odoo Sign enables users to electronically sign, manage, and store documents in compliance with applicable legal regulations, including the European Union's eIDAS Regulation (Regulation (EU) No 910/2014).
By accessing or using Odoo Sign, users agree to be bound by these Sign Terms, which are supplemental to my general Service Terms and Conditions and any other applicable legal provisions detailed on my Legal page. In case of conflict, these Signature Terms and Conditions shall prevail for matters concerning the electronic signature service.
User Responsibilities
By using Odoo Sign, users agree to:
- Authenticity and Authority:
- Ensure they are the authorized signatory for the documents they sign.
- Verify the accuracy, legality, and legitimacy of the information provided in the documents.
- Prohibited Activities:
- Not impersonate others or forge signatures.
- Refrain from using Odoo Sign for unlawful purposes, fraudulent activities, or in violation of Hungary’s Civil Code (Act V of 2013).
- Document Content Responsibility:
- Users are solely responsible for the content of the documents they process using Odoo Sign. The service provider does not review, validate, or verify document contents.
- Liability and Technical Integrity:
- Users must maintain the security of their systems and account credentials to prevent unauthorized access or use. The service provider is not liable for misuse resulting from user negligence.
- Retention and Backups:
- Users are responsible for downloading and securely backing up signed documents. Retention by the service may be time-limited and is not guaranteed.
Legal Recognition
Odoo Sign complies with the European Union’s eIDAS Regulation (Regulation (EU) No 910/2014), ensuring that electronic signatures are legally recognized across the EU, including Hungary. Where applicable, signatures executed through Odoo Sign are considered equivalent to handwritten signatures under Hungarian law.
Odoo Sign supports the creation of Advanced Electronic Signatures (AES), which meet the eIDAS Regulation standards for legal validity. However, Qualified Electronic Signatures (QES), offering the highest level of legal assurance under eIDAS, may require additional hardware or identity verification not provided by Odoo Sign. Users should ensure their signature type matches their legal or contractual needs.
For jurisdictions outside the EU, the legal recognition of electronic signatures may differ. Users bear sole responsibility for confirming the enforceability of such signatures under local laws before relying on Odoo Sign for binding agreements.
Data Security
Odoo Sign is committed to safeguarding user data through comprehensive security measures and compliance with relevant regulations:
Data Ownership
Users retain full ownership of their documents and data. Odoo Sign operates solely as a processor under the General Data Protection Regulation (GDPR) and Hungarian data protection laws.
Encryption
Documents and data are encrypted during transmission using industry-standard protocols (e.g., TLS 1.2 or higher) and are securely stored with encryption-at-rest mechanisms.
Storage Security
Data is hosted in secure server environments with access restricted to authorized personnel. Regular security audits ensure compliance with best practices and legal standards.
Access Controls and User Responsibility
Access to accounts and documents is secured through robust authentication measures, including support for multi-factor authentication (MFA).
Users are responsible for maintaining strong, unique passwords and enabling MFA to protect their accounts.
Breach Notification
In the event of a data breach, Odoo Sign will promptly notify affected users and authorities as required by GDPR, providing details of the breach and recommended mitigation steps.
Limitations of Liability
Odoo Sign’s liability is limited to the extent permitted under Hungarian law and the European Union’s legal framework.
Service Provider’s Scope
Adam Laszlo Rocska Sole Proprietorship, through Odoo Sign, provides the electronic signature service “as is” and makes no guarantees about uninterrupted service, system errors, or compatibility with all user systems.
Exclusion of Damages
To the fullest extent allowed by law, Odoo Sign is not liable for:
- Indirect, incidental, or consequential damages (loss of profits, data loss, etc.) arising from the use of Odoo Sign.
- Misuse, errors, or fraudulent activities by the user.
User Negligence
Users are solely responsible for maintaining proper security measures (e.g., secure passwords, MFA) to protect their accounts. Odoo Sign disclaims responsibility for damages arising from breaches caused by user inaction or negligence.
