Scope and Application

These Standard Terms and Conditions of Sale (“Terms”) apply to all sales of services, products, or licenses provided by me, regardless of the method or channel through which the sale is conducted. This includes but is not limited to:

  1. Purchases made via my online platform (“Website”), where the details of each service are provided on dedicated service pages.
  2. Sales formalized through written agreements, including but not limited to  Statements of Work  governed by a  Framework Agreement  , which specify the scope, deliverables, and terms for the agreed services.
  3. All sales are processed through my ERP system ( Odoo ) and are governed by these Terms. 

In the event of any inconsistency, the terms explicitly agreed upon in writing with you will take precedence.

The Glossary at https://adam-rocska.odoo.com/legal/attachment/glossary is an Attachment of this document. It defines all capitalized terms unless otherwise stated here. The latest version applies, and Parties are responsible for staying updated.

Relationship to Other Terms

  1. By purchasing services, products, or licenses from me, you acknowledge and agree to the terms and conditions applicable to the specific service or product as described on its respective page, including any Service-Specific Terms and the overarching Service Terms and Conditions.
  2. If there is a conflict between these Terms of Sale and any other terms referenced, the specific terms applicable to the service or product will take precedence, unless explicitly agreed otherwise.

Offer and Acceptance

A sale is considered binding when you, accept the offer made by me. The agreement is finalized in one of the following ways:

  1. Once you complete the checkout and confirm payment on the Website, the sale is binding, subject to service/product availability.
  2. When both of us sign the contract (e.g., Statement of Work, Framework Agreement), the sale becomes binding on the date of signature.
  3. If the transaction is negotiated through email, messaging platforms, or other written forms, the sale is considered final upon your written acceptance.

Pricing and Payment Terms

The pricing, payment methods, and deadlines for services are provided in detail on the service page and the relevant Statement of Work, where applicable. By proceeding with the purchase, you agree to the prices, payment methods, and terms as specified in these documents.

For clarity:

  • Currency & Taxes: Prices are displayed along with the currency's internationally accepted symbol (such as: $, €) or their respective ISO 4217 currency codes  (such as: USD, EUR, HUF) and are subject to applicable taxes (e.g., VAT) as defined in the respective Webpage or SoW.
  • Payment Methods: Accepted payment methods are outlined on the website or in the relevant SoW.
  • Payment Deadlines & Late Fees: Payment deadlines and any applicable penalties for late payments are defined in the respective SoW or other agreements.

Delivery and Fulfillment

  1. Delivery timelines for services (digital or physical) are outlined on the respective service page or in the Statement of Work (SoW), where applicable. By proceeding with the purchase, you acknowledge and agree to the delivery terms as specified in these documents.
  2. In case of unforeseen issues or delays, including those caused by force majeure, the applicable terms and procedures are defined in other relevant agreements or documents.

Refunds, Cancellations, and Returns

  1. All sales are final. As services have been rendered, they cannot be “un-rendered,” and therefore, no refunds or returns are offered.
  2. For services under warranty, the terms are governed by the relevant Warranty Agreement, if applicable, as part of the deal.
  3. If you are dissatisfied with the service, and depending on the nature of our ongoing relationship, I may offer non-monetary compensation, such as coupons or gift cards, at my discretion.

Intellectual Property and Licensing

All intellectual property rights related to the services provided are governed by the Service Terms and Conditions, any applicable Statement of Work, and the relevant agreements for your purchase. For full details, please refer to those documents.

Warranties and Disclaimers

Any warranties, responsibilities, and disclaimers associated with the services provided are outlined in the Service Terms and Conditions or if applicable and mutually signed, the Warranty Agreement , and the relevant agreements for your purchase. For full details, please refer to those documents.

Customer Responsibilities

Customer responsibilities, including necessary information and cooperation, are outlined in the Service Terms and Conditions, the Statement of Work, and the relevant agreements for your purchase. For full details, please refer to those documents. Please review these documents for full details.

Termination and Suspension

  1. Once a sale is completed and payment has been made, the transaction is final. There will be no refunds or cancellations of the sale. 
  2. Any request to terminate or suspend the ongoing service or contract must be addressed according to the terms specified in the relevant Service Terms and Conditions, Statement of Work, or other applicable agreements.
  3. I reserve the right to suspend or terminate services in cases of non-payment or breach of contract, as outlined in the respective agreements.

Governing Law and Dispute Resolution

  1. This agreement shall be governed by and construed in accordance with Hungarian law. 
  2. Any disputes arising from or related to this agreement shall be resolved through mediation or arbitration, as specified in the Service Terms and Conditions or any applicable agreement. 
  3. By agreeing to these Terms of Sale, you consent to the jurisdiction of Hungarian courts for any necessary legal proceedings.

Changes to Terms

  1. I reserve the right to modify or update these Terms of Sale at any time. 
  2. Any changes will be effective immediately upon posting on the website or through direct communication with you. 
  3. It is your responsibility to review these terms regularly. 
  4. Continued use of services after any updates signifies acceptance of the revised terms.

Miscellaneous

  1. If any part of these Terms of Sale is deemed invalid or unenforceable, the remaining sections will continue to apply in full force.
